By entering into a contract or agreement for services with LogoDesignSolutions, including but not limited by any products or services that are ordered through the LogoDesignSolutions website, you hereby agree to follow and comply with the legal boundaries set forth by the policies, terms and conditions set forth in these (“Terms and Conditions.”)

The services provided by LogoDesignSolutions shall include, but are not limited to, logos, designs, names, graphics or similar materials or information, whether or not protectable, corporate gift items, printing services, stationary, screen savers, web design, brochures, marketing materials and other design services that may be provided in the future by LogoDesignSolutions.

If any provision of these Terms and Conditions are not agreed upon by you, you should not order services from LogoDesignSolutions or enter into a contract with LogoDesignSolutions. To the extent that any provision of these specified Terms and Conditions conflicts with terms of your contract, the provision set forth herein shall be deemed as amended to ensure consistency with your contract.

LogoDesignSolutions reserves the right to change, amend or modify these Terms and Conditions as necessary without advanced notice to you. It is your responsibility to periodically check these Terms and Conditions. You agree that LogoDesignSolutions shall not be liable to you or any other third party for any amendment, modification, suspension or discontinuance made to these Terms and Conditions.

Logo Design Technicalities

The designed logo will have a CMYK color model. If Pantone colors are needed, you must specify the exact values.

The source file will be .ai (Adobe Illustrator 10), which will be converted to curve and would then allow for the editing of color and size, etc., but the fonts will be converted into paths, outlines, or graphic objects.

Other formats sent will be:

JPEG (for screen view)
TIFF (CMYK Printable)
GIF(RGB color file with transparent background)

Payment

LogoDesignSolutions will not refund any portion of your purchase price if your contract is terminated or cancelled for reasons other than your breach or non-performance. If for any reason a refund is granted after the project or service has begun, a $99 penalty fee will be imposed and kept by LogoDesignSolutions for services rendered.

Delivery and Acceptance

Upon completion of the products or services rendered in your contract, LogoDesignSolutions will deliver your services or product via email for your review. You will be allowed 30 business days from the date of this email delivery to notify LogoDesignSolutions in writing of your acceptance or rejection of the product or service. If you chose to reject the services, LogoDesignSolutions will only refund your money if the management team at LogoDesignSolutions deems that LogoDesignSolutions has not delivered its services in an efficient and effective manner as promised. In this event, the $99 penalty fee will still apply and be kept by LogoDesignSolutions, for the services that have been rendered.

Proprietary Rights

You have the ownership and the exclusive right to use any and all proprietary information you provide to LogoDesignSolutions in furtherance of or in connection with your contract, including but not limited to, all trademarks, trade names, copyrights, graphics, logos, designs and other similar information.

LOGODESIGNSOLUTIONS DOES NOT REPRESENT OR WARRANTY THAT IT HAS THE EXCLUSIVE TITLE OR RIGHT TO THE PRODUCTS AND/OR SERVICES PROVIDED TO YOU OR THAT THESE PRODUCTS AND/OR SERVICES DO NOT OR WILL NOT INFRINGE ON THE RIGHTS OF OTHER THIRD PARTIES. LOGODESIGNSOLUTIONS WILL NOT TAKE FURTHER ACTION TO ENSURE THE PROTECTION OF THE PRODUCTS AND/OR SERVICES TO BE DELIVERED UNDER YOUR CONTRACT, AND WILL DELIVER THE SERVICES AND/OR PRODUCT “AS IS” AND WITHOUT REPRESENTATION OR WARRANTY TO YOUR ABILITY TO OBTAIN TRADEMARKS, COPYRIGHTS, OR OTHER PROTECTIONS OF THE PRODUCTS OR SERVICES, IN THE UNITED STATES OR IN OTHER JURISDICTIONS.

Once you accept the service, and LogoDesignSolutions receives payment in full, LogoDesignSolutions will transfer, convey and deliver all of its right, title, and interest in and the products developed by LogoDesignSolutions to you under the terms of your contract. Any products rejected or not accepted by you shall remain the property of LogoDesignSolutions and you will have no right to these products or services.

LogoDesignSolutions reserves the royalty-free right to use any and all products or services developed by LogoDesignSolutions and given to you, for display or self-promotional purposes, regardless of whether or not you accepted the delivery of these services or product.

Termination

LogoDesignSolutions reserves the right to terminate, for any reason whatsoever, both permanently or temporarily, your order for any product or service offered by LogoDesignSolutions as well as your contract or access to the LogoDesignSolutions website, for any reason without your prior notice or consent. It is agreed that you will not hold LogoDesignSolutions liable to you or any third party for any rejection, termination, or cancellation of your order, your contract, or your access to the website. If LogoDesignSolutions does reject, cancel, or terminate your contract or order for a reason other than a breach of contract or non-performance under your contract, LogoDesignSolutions will return any of the amounts prepaid by you relating to the rejected or cancelled contract or order.

Copyright and Trademark Notices

All intellectual property of LogoDesignSolutions, including all graphics, web site screens and portions of, original text elements, site design, logos, icons, picture, as well as the format and/or organization of the website, constitute proprietary and confidential information that is provided by the law. Unless expressly authorized by LogoDesignSolutions in writing, any modification, distribution, alteration, duplication, rent, lease, or sale of any intellectual property or proprietary information contained within the website is strictly prohibited.

Governing Law

These Terms and Conditions shall be interpreted and governed by the laws of the State of Illinois. The laws of any other state will not be used or applied. As a result, you hereby irrevocably consent to the exclusive jurisdiction of the federal and state courts of Illinois regarding any and all disputes relating to your contract and/or these Terms and Conditions.
